1. Parties and scope
These terms govern the use of the Yaaka service provided by Yaaka, Sierre, Switzerland (« Yaaka »), by the sports club, association or federation that subscribes to it (« the association »).
The service is intended for associations and legal entities; it is not offered to consumers. An individual agreement signed by both parties prevails over these terms where they differ.
These terms are published in English, French, German and Italian. In case of divergence, the French version prevails.
2. The service
Yaaka is a software service that keeps an association's register — its members, the people around them, their households, the documents and decisions the association must hold (medical certificates, consents, emergency contacts) — and helps the committee run the association: fees, communication, documents, according to the plan subscribed. It is provided as an annual subscription per association, in the plans published on the settings page. It is a tool for the committee's decisions; it does not take them.
3. Access and accounts
The association's administrator invites the committee members and decides their roles, and confirms being authorised to bind the association when accepting these terms. Accounts are personal and must not be shared; sign-in is by a code sent by e-mail, and roles that reach every member's data use a second authentication factor.
Members, parents and guardians reach only what concerns them. Access to a minor's data is granted to the persons the association has recorded as their guardians.
When an invoice remains unpaid ten days after a written reminder, Yaaka may suspend the association's subscription until payment; its data is preserved and nothing is deleted.
4. The association's data and data protection
The register remains the association's. The association is the controller of the personal data it records about its members, their guardians and its committee — including data about minors and health data such as medical certificates — and answers for the lawfulness of that collection, for informing the persons concerned and for the decisions it records (consents, publication of photographs). Yaaka processes that data as delivered and uses it only to provide the service.
Yaaka acts as the association's processor under the Swiss Federal Act on Data Protection (FADP, art. 9): it processes the data on the association's instructions only, binds its staff to confidentiality, applies technical and organisational security measures proportionate to the sensitivity of the data (isolation of every association at the database level, encrypted transport, access limited to authenticated roles, an append-only audit trail of every change) and assists the association in answering data-subject requests. Sub-processors: the hosting provider (Oracle Cloud Infrastructure, Switzerland) and the e-mail relay that carries the messages Yaaka sends on the association's behalf. The association is informed at least thirty days before a new sub-processor is engaged and may object.
The association can export its data at any time. After the end of the contract, the data stays exportable for thirty days, is then deleted, and disappears from backups within ninety days.
5. Plans, payment and duration
Subscriptions are invoiced in advance for one year, in Swiss francs, excluding VAT where it applies, with a Swiss QR-bill payable by bank transfer within thirty days of the invoice date. They renew for the same period unless either party terminates at the end of the current period with thirty days' written notice. Late payments bear the statutory default interest of five per cent a year (art. 104 CO).
The figures a plan names for active members are a band that opens a conversation about the next plan, never a block; the number of committee seats is the one limit the service enforces.
6. Availability
Yaaka aims for continuous availability and announces planned maintenance in advance, but does not guarantee uninterrupted or error-free operation. Interruptions may result from maintenance, updates, hosting or network incidents, third-party services or events beyond our control. The service is a web application: it needs a network connection, and the installed shell on a phone is a shortcut, not an offline copy of the register.
7. Intellectual property and licence
The software, its interface and its documentation remain the property of Yaaka. The association receives a non-exclusive, non-transferable right to use the service for its own members for the duration of the subscription. The register, the documents and the exports produced from the association's data belong to the association.
8. Confidentiality
Each party keeps confidential the information it receives from the other under this agreement and uses it only to perform it. This obligation survives the end of the contract for two years. It does not cover information that is public, already known to the receiving party, or that the law requires to disclose.
9. Liability
To the extent permitted by Swiss law, Yaaka is not liable for indirect or consequential damages, including decisions the committee takes on the basis of the register, claims from third parties or public authorities, or loss of data the association has not exported. Yaaka is not liable for interruptions or errors caused by the association's data or by force majeure. Yaaka answers for its auxiliaries (hosting, e-mail relay) within the limits of art. 101 of the Swiss Code of Obligations; liability for their slight negligence is excluded. In every case, Yaaka's total liability under this agreement is limited to the fees paid by the association during the twelve months preceding the event. Nothing here limits liability for intent or gross negligence, which Swiss law does not allow to exclude (art. 100 CO).
10. Termination
Yaaka may terminate immediately for a serious breach of these terms. If Yaaka terminates without a breach by the association, the fees paid for the unused part of the period are refunded pro rata. After termination, the association's data can be exported for thirty days, then deleted.
11. Changes
Yaaka may update these terms and its plans. Material changes are announced at least thirty days in advance and apply from the next renewal; an association that refuses them may terminate free of charge with effect on that date. The association's administrator is asked to accept a new version of the terms at sign-in.
12. Cookies and similar technologies
Our platform uses exclusively cookies and local-storage items strictly necessary to the technical operation of the service, namely to:
- authenticate users securely and manage their sessions;
- protect forms against CSRF attacks;
- remember your display preferences (language, theme).
In accordance with art. 45c of the Swiss Telecommunications Act (TCA), we use no advertising, commercial-profiling or third-party tracking cookie that would require a consent banner.

13. Applicable law and jurisdiction
Swiss law applies, to the exclusion of its conflict-of-law rules. The courts of Sierre, Switzerland, have exclusive jurisdiction, subject to mandatory forums.
